• Company (referred to as "the Company," "We," "Us," or "Our") refers to ARVMarketing, LLC, with offices at 824 Green St, West Palm Beach, FL 33405.
• Device means any device that can access the Service.
• Service refers to (i) the ARVMarketing Website accessible from https://arvmarketing.com/ and (ii) all digital marketing, web design, SEO, advertising, and consultation services provided by the Company to You under a separate written agreement (e.g., a Service Agreement or Proposal).
• Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
• Website refers to ARVMarketing, accessible from https://arvmarketing.com/.
• You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

These Terms govern the use of the Service and the agreement that operates between You and the Company. Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms.

• By accessing or using the Service, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms, You may not access the Service.
• You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.
• Your use of the Service is also conditioned on Your acceptance of and compliance with Our Privacy Policy. Please read Our Privacy Policy carefully before using Our Service.

• Your Content Responsibility: You affirm and warrant that You own or have secured all necessary rights, licenses, and permissions to use all content, images, logos, trademarks, text, and other materials ("Client Content") that You provide to ARVMarketing for use in marketing campaigns, website design, or any other Service.
• Content License: You grant ARVMarketing, LLC a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display the Client Content solely for the purpose of providing the contracted Service to You.
• Indemnification for Content: You agree to indemnify, defend, and hold harmless the Company from and against any and all claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to any Client Content You provide that is alleged to infringe upon the intellectual property rights, privacy rights, or other rights of any third party.

• The Company retains all intellectual property rights in any proprietary software, custom code (e.g., internal CRM scripts), internal reporting dashboards, marketing methodologies, or pre-existing creative assets used to deliver the Service. These elements are licensed to You for use during the Service period but are not sold to You.

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under these Terms shall be limited to the amount actually paid by You to the Company for the specific services giving rise to the claim in the six (6) months preceding the event, or $100.00 USD if You have not purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, loss of privacy, business interruption, or personal injury).

You acknowledge that the Company provides professional marketing, strategic, and web development services, but does not and cannot guarantee specific financial, sales, lead generation, or search engine ranking outcomes (e.g., "ranking #1 on Google") from its efforts. Marketing and search engine results are dependent on numerous factors beyond the Company’s control, including market conditions, competitor activities, user behavior, and unilateral changes to third-party platforms (e.g., Google or Facebook algorithm updates).

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions. Upon termination, Your right to use the Service will cease immediately.

The Service and Website are provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

The Company provides no warranty or undertaking that the Service will meet Your requirements, operate without interruption, meet any performance or reliability standards, or be error-free.

The laws of the State of Florida, United States, excluding its conflicts of law rules, shall govern these Terms. You agree that the exclusive venue for any claim or dispute arising out of or relating to these Terms or the Service shall be in the state or federal courts located in Palm Beach County, Florida.

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect. The failure to exercise a right or to require performance of an obligation under these Terms shall not constitute a waiver of such right or obligation.

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material (e.g., changes that significantly affect your obligations), We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms.
